Sargent Bankshares, Inc. to Acquire the First National Bank of Milnor, North Dakota

COMPANY RELEASE – November 22, 2016

Sargent Bankshares, Inc., the parent company of Sargent County Bank, and the First National Bank (FNB) of Milnor and Lisbon, wholly owned by FNB Bankshares, Inc., announced today that Sargent Bankshares, Inc. has signed a definitive agreement to acquire FNB. FNB has total assets of $70 million and currently oper-ates from locations in Milnor and Lisbon. SCB has total assets of $120 million with locations in Forman, Gwinner and Rutland.

"FNB is a locally-owned banking organization that shares our corporate values and emphasis on communi-ty banking and community reinvestment," said Sargent Bankshares, Inc. President and CEO, Steven McLaen. "Bringing our two companies together gives us the opportunity to expand our market in Ransom and Sargent County. This acquisition will create long-term value for both our companies, our customers, employees, and communities."

FNB Chairman Jon Mund commented, "FNB is very appreciative of the community support it has received over the past 110 years in Milnor and Lisbon. Now, we are looking forward to becoming affiliated with Sar-gent County Bank." Mr. Mund further stated, "Sargent County Bank is a respected institution with deep roots in North Dakota. Sargent County Bank has been in existence for 116 years and is known for its ser-vice culture and support of the communities it serves. We are confident the affiliation of our bank with SCB will provide our customers with many new benefits including new banking products, increased lending limits and additional access to banking services. In addition, our customers will be able to continue their banking relationships with staff they have come to know and trust at FNB."

Terms of the transaction were not announced. The closing of the transaction is expected to take place dur-ing the first quarter of 2017, subject to regulatory approval. FNB will initially operate as a separate bank charter from Sargent County Bank, but the banks will likely be combined by the end of 2017. Both FNB lo-cations will continue to be operated by Sargent Bankshares, Inc.
